1. Overview
These Terms of Service ("Terms") govern your access to and use of PixPrompter’s Chrome extension, backend services and marketing website (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. Eligibility
You may use the Service only if you have the legal capacity to form a contract under applicable law and you are using it on your own behalf or on behalf of an organization that has authorized you to accept these Terms. If you use the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization.
3. Account, extension and tokens
- To access paid features, you may need to create an account and purchase a subscription.
- After purchase, you may receive an activation code and/or license token that grants access to the extension’s premium features.
- You are responsible for maintaining the confidentiality of activation codes, tokens and any credentials associated with your account, and for all activities carried out using them.
- You must promptly notify us if you suspect unauthorized use of your account, activation code, token or the Service.
4. Subscriptions, billing and taxes
- Paid plans are offered on a subscription basis (for example, monthly or annual) and may renew automatically at the end of each billing period unless you cancel in accordance with the instructions provided.
- Payments, billing, invoicing and tax calculations are handled by a third‑party payment provider and/or merchant of record (the "Payment Provider"). Your purchase is processed by the Payment Provider under its own terms and privacy policy, in addition to these Terms.
- Subscription fees and any applicable taxes are disclosed at checkout. We may change prices for future billing periods and, where required by law, will provide reasonable notice.
- You may cancel your subscription at any time; unless otherwise stated, cancellation takes effect at the end of the current billing period and you will continue to have access until that date.
- Refunds are handled in accordance with our Refund Policy.
5. License and permitted use
Subject to your compliance with these Terms and any applicable order, we grant you a limited, non‑exclusive, non‑transferable and revocable license to install and use the PixPrompter Chrome extension and related components for your internal business or personal purposes.
You must not:
- copy, modify, distribute, sell, sublicense or lease the Service or any part of it;
- reverse‑engineer, decompile or attempt to extract source code, except to the extent permitted by law;
- use the Service to build a competing product or service or to benchmark for purposes other than your internal evaluation;
- circumvent or attempt to circumvent any technical or usage limitations in the Service.
6. Customer content and AI usage
You are responsible for the content you create, edit or use with the Service, including any UI components, prompts and other materials ("Customer Content").
- The extension is designed so that page content and UI structure are processed locally in your browser as part of the current product design. By default, we do not need to receive full page content or prompts on our servers to provide core functionality.
- When you choose to use third‑party AI providers or other tools together with PixPrompter, your use of those providers is governed by their own terms and privacy policies. You are solely responsible for ensuring that your use of those services complies with applicable law and third‑party terms.
- AI‑generated suggestions may be inaccurate, incomplete or inappropriate. You must review and validate outputs before relying on them. The Service is not a substitute for professional advice, including legal, financial or compliance advice.
7. Acceptable use
You agree to use the Service in a lawful, reasonable manner and not to:
- use the Service in violation of any applicable law or regulation;
- infringe or violate the intellectual property, privacy or other rights of others;
- attempt to gain unauthorized access to the Service, other accounts or systems;
- interfere with or disrupt the integrity or performance of the Service;
- use the Service to build or train models in a way that violates third‑party terms or applicable law.
We may suspend or terminate access to the Service if we reasonably believe that your use is unlawful, abusive, or otherwise poses a risk to the Service or others.
8. Intellectual property
PixPrompter and its licensors retain all right, title and interest in and to the Service and its underlying technology, including all intellectual property rights. Except for the limited license expressly granted in these Terms, no rights are transferred to you.
You retain ownership of your Customer Content. We do not claim ownership of your Customer Content.
9. Third‑party services
The Service may integrate or interact with third‑party services, such as payment providers, AI tools, browsers, marketplaces or other platforms. Those services are governed by their own terms and privacy policies. We are not responsible for third‑party services and do not control how they handle your data.
10. Beta and experimental features
From time to time, we may offer beta, preview or experimental features. These features may be offered for a limited time, may be subject to additional terms, and may be modified or discontinued at any time. They are provided on an "as is" and "as available" basis.
11. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that we will process personal data in accordance with that policy.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non‑infringement.
We do not warrant that the Service will be uninterrupted, secure or error‑free, or that defects will be corrected. We do not guarantee any particular results from the use of the Service or any AI‑generated suggestions.
13. Limitation of liability
To the maximum extent permitted by law, PixPrompter will not be liable for any indirect, incidental, consequential, special or punitive damages, or any loss of profits, revenues, data or goodwill, arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
To the extent permitted by law, our aggregate liability for any claim arising out of or relating to these Terms or the Service will be limited to the amount you paid for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
14. Indemnity
You agree to indemnify and hold harmless PixPrompter and its affiliates, officers, employees and agents from and against any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising out of or related to your Customer Content, your use of the Service or your violation of these Terms or applicable law.
15. Term and termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access to the Service at any time if you materially breach these Terms, if we are required to do so by law, or if we decide to discontinue the Service. You may stop using the Service at any time.
Upon termination, your right to access and use the Service will cease. Sections of these Terms that by their nature should survive termination (including, for example, intellectual property, disclaimers, limitations of liability and indemnity) will continue to apply.
16. Governing law and disputes
These Terms and any dispute arising out of or in connection with them will be governed by the laws applicable where PixPrompter is established, without regard to conflict‑of‑laws rules, unless mandatory law provides otherwise. Any disputes will be submitted to the competent courts of that jurisdiction, without prejudice to any mandatory rights you may have under applicable law.
17. Changes to these Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. If changes are material, we may provide additional notice (for example, by displaying a notice in the Service or by email). Your continued use of the Service after the changes take effect constitutes your acceptance of the updated Terms.
